1. Acceptance of Terms

By accessing or using SyncAgent ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

SyncAgent provides an AI-powered database agent that developers can embed into their applications. The Service includes API endpoints, SDKs, embeddable widgets, and a developer dashboard for project management. The Service processes natural language queries against your database in real-time.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for:

  • •Maintaining the confidentiality of your account credentials
  • •Safeguarding your API keys and not sharing them publicly
  • •All activities that occur under your account
  • •Notifying us immediately of any unauthorized use

4. Your Database & Data

You retain full ownership of your data. SyncAgent does not store your database connection strings or the data within your databases.

You are solely responsible for:

  • •The data stored in your database and its compliance with applicable laws
  • •Configuring appropriate permissions (read, create, update, delete) for your projects
  • •Ensuring your end users have appropriate authorization to access the data
  • •Backing up your database — SyncAgent is not a backup service

5. Acceptable Use

You agree not to use the Service to:

  • ✗Violate any applicable laws or regulations
  • ✗Process or store data that you do not have the right to use
  • ✗Attempt to gain unauthorized access to our systems or other users' data
  • ✗Reverse engineer, decompile, or disassemble the Service
  • ✗Use the Service to build a competing product
  • ✗Exceed your plan's rate limits through circumvention

6. Plans & Billing

The Service offers multiple plans with different usage limits. By subscribing to a paid plan, you agree to pay the applicable fees. Fees are billed monthly and are non-refundable except as required by law.

We reserve the right to modify pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. API Keys & Security

API keys are credentials that authenticate requests to the Service. You must keep your API keys confidential and not embed them in client-side code that is publicly accessible. If you believe an API key has been compromised, you should immediately generate a new key and revoke the old one from your dashboard.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime in advance.

9. Limitation of Liability

To the maximum extent permitted by law, SyncAgent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the AI agent will always produce accurate results. You are responsible for validating any data modifications made through the Service.

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these terms. Upon termination, your right to use the Service ceases immediately, and we may delete your account data after a reasonable retention period.

12. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or a notice on the Service. Continued use after changes take effect constitutes acceptance of the revised terms.
